General Sales Conditions

PREAMBLE

These "Conditions of Sale" apply to legal transactions involving products marketed to 'Maedup & Co's' customers within their online store.

DEFINITIONS:

The terms or expressions herewith have the following definitions:

Online store: defines as the ecommerce 'Maedup & Co.' available on the maedupandco.com website on which the products are presented and sold to it's customers.

Order: defines the sales contract between 'Maedup & Co.' and it's client within the maedupandco.com Website.

Product Details: defines the information pertaining to a product supplied by 'Maedup & Co.' and offered for sale on the the online store maedupandco.com.

Products: defines all goods and services sold by 'Maedup & Co.' in its online store on the website maedupandco.com.

Service: defines the sale of products by 'Maedup & Co.' to it's customers on the oline store on the website maedupandco.com.

Transaction: defines all operations, secured payments, permissions and agreements in connection with payment of the Products ordered.

ARTICLE 1 - OBJECT

These Terms of Use are intended to define the terms and conditions under which 'Maedup & Co.' offers and sells its products to its customers.
These general conditions of sale prevail over all other conditions contained in any other document, unless expressly stated otherwise.

ARTICLE 2 - ACCEPTANCE OF TERMS

The customer acknowledges having read, at the time of the finalisation of his/her order, these general conditions of sale and expressly accepts unconditionally.
These general conditions of sale govern the contractual relationship between 'Maedup & Co.' and its client, both parties accepting them unconditionally.

ARTICLE 3 - PRODUCTS

The majority of products offered by 'Maedup & Co.' to its clients are immediately available. However, all products marketed by 'Maedup & Co.' may or may not necessarily be exclusively sold online. Stocks on some products are limited and may have run out when a customer orders. In the case of this happening and the customer having already made a payment, the cutomer will be fully refunded via the payment method used when ordering.

ARTICLE 4 - CONTROL

The automatic registration systems are considered as proof of the nature, content and date of the Order.

'Maedup & Co.' confirm acceptance of client Orders by sending a confirmation email to the email address provided by the client on signup. The sale will be considered official only after the dispatch of the confirmation email.

'Maedup & Co.' reserves the right to refuse or cancel any Order of a particular customer if that customer proves insolvency or in the event of a default in payment of the relevant Order on earlier orders or litigation on payment of a previous order.

The indications given by the customer when entering information inherent to his or her Order are committing. 'Maedup & Co.' can not be held responsible for errors made by the client in the name and address of the recipient of the Order (shipping address, billing address) and delays in delivery or inability to deliver the Products ordered that these errors may cause.

ARTICLE 5 - DELIVERY

We deliver worldwide. Just select the international delivery option of your choice in your shopping cart.

After confirming the Order and subject to full payment of the products ordered, 'Maedup & Co.' will ship or have the ordered products shipped to its customer under its responsibility or that of its supplier to the delivery address and within a reasonable timeframe: generally on receipt of payment.

Delivery will be handled by the carrier chosen by the customer when placing the order and by USPS for cord products that are sent directly by our supplier.

If necessary, the choice of carrier will be based on weight and destination of the package and their availability. Any extra delivery costs that differ from the price listed on the site will be requested by email and will be delivered only after agreement and settlement of the latter.

Any delays in delivery due to the carrier or 'Maedup & Co.' do not entitle the customer to claim damages. However, after verification of poor delivery conditions, 'a gesture of goodwill' will be offered to the client in the form of a valid purchase order to be used on the site maedupandco.com

The ordered products are transported and delivered at the risk of the recipient. Upon receipt of the Products ordered, the customer or recipient should check the state and condition of the goods supplied. In the event that one or more of the products ordered are missing or damaged, the client or recipient must file a claim with the carrier at the time of delivery.

Are considered as force majeure and liberating 'Maedup & Co.' Of its obligation to deliver : war, riot, fire, strikes, accidents and the impossibility of being resupplied.

For reasons of availability and/or geographic location for varying products ordered, an Order may be fractionned into several successive deliveries to the customer.

In the event that the client would like the Products ordered delivered to two distinct addresses, then he/she should fill out 2 separate orders.

ARTICLE 6 - RETURNS

The customer has a period of 10 days from receipt of the Products ordered to return them to 'Maedup & Co.' for exchange or refund. In this case, the customer must return the Products, intact, with all accessories, instruction manuals or other documentation to the following address:

In the case that a client exercises his/her right of withdrawal 'Maedup & Co.' undertakes to refund the sums paid by the customer at no charge except on return shipping costs.

Refunds are due within a period of maximum 30 days.

ARTICLE 7 - PRICES

All prices are quoted in Euros (€).

The price on the product sheets do not include shipping fees.

The price stated in the Confirmation Order is the final price without taxes expressed as 'Maedup & Co.' is not subject to VAT. This price includes the price of the Products, handling, packaging and storage of products, freight and commissioning.

ARTICLE 8 - PAYMENT

The price charged to the customer is the price indicated on the Order confirmation sent by 'Maedup & Co.'.

The Product price is payable by means of the method of payment offered on the site on the day the order is confirmed.

ARTICLE 9 - APPLICABLE LAW

These general conditions of sale are subject to French law.

ARTICLE 10 - LIABILITY

'Maedup & Co.' can not be held liable for damages of any kind, whether on tangible or intangible property, which could result from a malfunction or improper use of the Products. The same goes for any product modifications carried out by the manufactuer on manufactured products.

'Maedup & Co.'s' responsiblility will in any event, be limited to the amount of the order and will not be made liable for simple mistakes or omissions that may have persisted despite the efforts made on the presentation of the products. In the event that Maedup & Co. Encounter any difficulties in implementing this contract, the client and 'Maedup & Co.' reserve themselves the right to seek an amicable solution.
before taking any legal action.

In the case of an unsettled situation with merchant customers, solely the « Tribunal de Commerce du Rhone » has exclusive jurisdiction, regardless of delivery location and method of payment accepted.

ARTICLE 11 - GUARANTEE

In all cases 'Maedup & Co.' can not be held responsible for non-compliance with regulations and laws in force in the receiving country. 'Maedup & Co.'s' responsibility is always limited to the value of the product in question at the date of sale and without recourse against the brand or company that produces the product.

In any case, the client receives the legal guarantee on eviction and hidden defects which fall under article 1625 and following the Civil Code (French jurisdiction).

ARTICLE 12 - LEGAL INFORMATION

The information collected for the purposes of ecommerce sale is essential for the processing and delivery of orders, preparing invoices and warranty contracts. Any needed information that is missing leads to the non-validation of the Order.

In accordance with the Freedom and Liberties law, the processing of personal customer information is subject to a declaration to the Commission Nationale de l'Informatique et des Libertés (CNIL) and is registered under number: 1372911.

'Maedup & Co.' comitts to never renting or selling customer information to third parties.
